GENERAL TERMS AND CONDITIONS OF SALE (GTC).

As of January 2026

These General Terms and Conditions of Sale (GTC) apply to deliveries and services of SILITECH AG, Worbstrasse 173, CH 3073 Gümligen, Switzerland (hereinafter referred to as “SILITECH”).

Scope, priority, exclusion clause

These terms and conditions apply to all offers, deliveries and services provided by SILITECH to its customers.

Any differing or supplementary terms and conditions of the customer shall only apply if SILITECH expressly acknowledges them in writing.

In case of doubt, these terms and conditions also apply if SILITECH delivers or performs services with knowledge of differing conditions.

Customer base, B2B, excluding custom orders

The offer is primarily aimed at business customers (B2B).

Custom-made products, customer-specific developments, contract filling outside of standard specifications, and individually agreed-upon specifications are subject to separate written agreements. In the absence of a separate agreement, these General Terms and Conditions apply accordingly.

Offer, order, contract conclusion

Offers from SILITECH are non-binding unless expressly designated as binding.

A contract is concluded through written order confirmation, delivery of the goods, or performance of the service.

Technical specifications, data sheets, safety data sheets, illustrations and product descriptions are for informational purposes only and are only binding if expressly agreed upon in writing.

Prices, currency, additional costs

All prices are net prices plus statutory VAT, plus shipping, packaging, hazardous goods, customs, duties and other incidental costs, unless expressly agreed otherwise.

The invoicing currency is the currency shown in the offer, order confirmation or invoice.

If fees are specified in these terms and conditions in CHF, EUR, and USD, the amount in the invoice currency applies. Example: Minimum order surcharge CHF 30, EUR 30, or USD 30.

SILITECH may pass on price changes if procurement costs, raw material prices, transport costs, customs duties, taxes, or regulatory requirements change significantly before delivery, and this is beyond SILITECH's control. In this case, SILITECH will inform the customer before delivery, to the extent practicable.

Minimum order surcharge

For orders with a net merchandise value below CHF 100 or EUR 100 or USD 100, SILITECH charges a small order surcharge of CHF 30 or EUR 30 or USD 30 per order.

The net value of goods refers exclusively to the value of the goods excluding VAT, shipping, packaging, hazardous materials or other additional costs.

SILITECH may waive the minimum order surcharge in whole or in part under framework agreements, special conditions or at its own discretion.

Payment terms, default, set-off

Unless otherwise agreed, invoices are payable within 30 days of the invoice date without deduction.

In case of late payment, SILITECH may charge default interest of 5 percent per year as well as reminder and collection costs.

SILITECH is entitled to make all or part of its deliveries only against prepayment, payment security or cash on delivery.

Offsetting against counterclaims is only permissible if these are undisputed or have been legally established.

Delivery terms, Incoterms, transfer of risk

Unless otherwise agreed in writing, delivery by SILITECH is generally made according to Incoterms 2020 DAP (Delivered At Place) to the agreed delivery address.

If the customer organizes the collection themselves or if the processing is carried out via the customer's customer number with a transport service provider, the delivery will be made according to Incoterms 2020 FCA Gümligen (SILITECH AG, Worbstrasse 173, CH 3073 Gümligen).

The transfer of risk is governed by the agreed Incoterms clause.

Delivery dates are non-binding unless expressly confirmed in writing as binding. Partial deliveries are permitted to the extent reasonable.

Shipping, packaging, transport service provider

SILITECH selects the shipping method and transport provider at its own discretion. International shipping is typically handled via FedEx, including Regional Economy (road) service, as well as other suitable providers, depending on the destination and product classification.

Packaging and shipping costs as well as surcharges (for example, dangerous goods, oversize items, special handling) will be shown or invoiced separately unless otherwise agreed.

Transport insurance is only taken out at the express written request of the customer and at their expense.

Dangerous goods, Limited Quantities, Classification

Products classified as Dangerous Goods (DG) or Limited Quantities (LQ) are subject to special regulations (for example, ADR for road transport, IATA for air transport). This can result in additional requirements for packaging, labeling, documentation, and handling.

Dangerous goods surcharges per shipment:

• Limited Quantities (LQ): SILITECH charges a surcharge of CHF 25 or EUR 25 or USD 25 per shipment.

• Dangerous Goods (DG), fully regulated: SILITECH charges a surcharge of CHF 70 or EUR 70 or USD 70 per shipment.

The classification (LQ or DG) and the required handling are determined by the applicable regulations as well as the classification according to manufacturer's specifications, safety data sheet (SDS) and the requirements of the transport service provider.

If additional costs or delays arise due to incomplete, late or incorrect information provided by the customer (for example, end use, recipients, contact persons, import requirements, desired method of invoicing for customs duties and taxes), the customer shall bear these additional costs.

Customs, export, import, duties, service fees, customs formalities

Import duties, import taxes, and official fees in the receiving country are generally borne by the recipient. Deviations are only valid if expressly agreed upon in writing.

If the customer or recipient requests that customs duties and taxes be borne by the sender or a third party (for example, invoicing the sender or third party, the recipient requiring their own customer number or a specific invoicing method), additional fees may be charged by the transport service provider or customs broker (for example, disbursement fees, presentation fees, forwarding fees). These will be passed on if caused by the recipient or customer.

If SILITECH organizes the customs formalities, the following service fees will apply per shipment and will be invoiced as separate items:

• CH export clearance: CHF 15 or EUR 15 or USD 15 per shipment

• Import clearance in the receiving country organized by SILITECH: CHF 40 or EUR 40 or USD 40 per shipment (up to a maximum of 3 customs items)

• EUR.1, if required and arranged by SILITECH: CHF 65 or EUR 65 or USD 65 per shipment

“Import clearance organized by SILITECH” includes, in particular, where necessary: ​​preparation and submission of the import customs declaration, data verification, communication with customs authorities and, if necessary, submission of accompanying documents.

Costs incurred by transport service providers, customs agents or authorities due to missing documents, lack of contact with the recipient, official clarifications or waiting times (e.g. storage, demurrage, official fees) will be passed on to the customer, unless the cause is within SILITECH's area of ​​responsibility.

Subsequent corrections to customs declarations (for example, adjustments to HS code, value, origin, description, Incoterm) are time-consuming and can lead to delays. The customer is generally responsible for any fees and consequences arising therefrom, unless the correction is demonstrably caused solely by SILITECH. Regardless, delays may occur for which SILITECH is not liable, unless caused by intent or gross negligence.

If the customer or recipient requires special handling, transit procedures or transport under T-status, or handling through an external broker, all resulting additional costs will be passed on.

Duty to inspect, notification of defects, default of acceptance

Customers must inspect the goods immediately upon receipt. Any visible defects, incorrect deliveries, or transport damage must be reported and documented in writing (photos, batch numbers, labels, delivery note details) within 7 calendar days.

Hidden defects must be reported in writing within 7 calendar days of discovery.

If the customer fails to give timely notice of defects, the goods are deemed approved, to the extent permitted by law.

If the recipient is in default of acceptance or cannot be reached, SILITECH may store, return, or otherwise dispose of the goods at the customer's expense and risk. Any resulting costs (transport, storage, handling, authorities) will be passed on.

Warranty, subsequent performance

In the case of justified defects reported in due time, SILITECH will, at its own discretion, either repair or replace the product.

Further warranty rights, in particular rescission, price reduction or damages, are excluded to the extent permitted by law, except in cases of intent or gross negligence.

Deviations due to production and batch-related tolerances are common in the industry and do not constitute a defect, provided that the suitability for the usual purpose is not significantly impaired.

Liability

SILITECH is only liable for damages caused by intent or gross negligence.

Liability for indirect damages, consequential damages, production downtime, lost profits, data loss or third-party claims is excluded to the extent permitted by law.

SILITECH is liable for slight negligence only in the event of a breach of essential contractual obligations and limited to the typically foreseeable damage.

Returns, refunds, reversals, reimports

Returns are only permitted with prior written consent from SILITECH (RMA process).

Goods must be returned unused, undamaged, correctly labeled, and in their original packaging. Chemicals and hazardous materials are subject to additional requirements.

The customer is generally responsible for the costs of returns, refunds, re-imports, customs formalities and any applicable fees.

If SILITECH is demonstrably responsible for the return (for example, confirmed incorrect delivery), SILITECH will bear the reasonable return shipping costs and organize the procedure.

If the customer has specific requirements regarding minimum shelf life, remaining shelf life, or other product-specific characteristics, these must be expressly requested in writing before each order and confirmed by SILITECH. If no such prior agreement is reached, the delivered goods are considered to conform to the contract. Subsequently asserted requirements do not entitle the customer to a return, credit note, or replacement.

Returns may be excluded for special orders, opened containers, custom-picked goods or products with a limited shelf life.

Retention of title

The goods remain the property of SILITECH until all claims arising from the business relationship have been paid in full.

The customer undertakes to treat the goods with care and to inform third parties about the retention of title.

Compliance, export control, end use, documents

The customer ensures that the intended use, end recipient and end use are lawful and that all applicable export, import, sanctions and chemical regulations are complied with.

Required documents (e.g., import permits, end-use statements, special registrations) must be provided in a timely manner. Delays and costs due to missing documents will be borne by the customer, unless caused by SILITECH.

Safety data sheets and other accompanying documents will be provided as available. The manufacturer's current documents are authoritative.

Data protection

SILITECH processes personal data exclusively for the purpose of managing the business relationship, for communication, for contract fulfillment and for fulfilling legal obligations.

Details are governed by the privacy policy on the SILITECH website.

Force majeure

Events outside of SILITECH's sphere of influence (for example, natural disasters, war, strikes, pandemics, government measures, transport disruptions, supply bottlenecks) are considered force majeure.

In cases of force majeure, delivery deadlines will be extended appropriately. SILITECH may also withdraw from the contract in whole or in part if performance becomes permanently unreasonable.

Jurisdiction, applicable law, exclusion of CISG

The place of performance and exclusive jurisdiction is Gümligen, Switzerland.

Swiss law applies exclusively. The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.

Severability clause

Should any provision of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that most closely approximates its intended economic purpose.
